1. Introduction
The following Terms and Conditions apply to Galaxy Distribution, LLC services, products, subsidiaries, parent company, affiliates, and mobile phones. By accessing or using the site, purchasing, activating, or using Galaxy Distribution products or services, you agree to comply with these Terms and Conditions and any related policies incorporated by reference.
These Terms and Conditions are a legally binding agreement between you and Galaxy Distribution. Changes become effective when posted on GalaxyDistribution.com, so you should review the current version regularly. By accepting these Terms, you represent that you are at least 18 years old and meet the eligibility standards for Galaxy Distribution service.
2. Our Right to Make Changes
Galaxy Distribution may change these Terms and Conditions, prices, services, product offerings, features, and account rules at any time without notice or obligation unless prohibited by law. The right to use the service is always subject to current policies, practices, procedures, rates, and posted terms.
Galaxy Distribution may also remotely update your phone software, applications, or programming without notice. These changes may affect stored information, settings, or device functionality.
3. Mobile Telecommunications Services
Airtime may be used for domestic calling and related services described in these Terms. Service is provided for personal use only and may not be transferred, resold, or shared among multiple individuals.
You may not use the service in a way that interferes with another customer’s use. Abnormally high call volume, long-duration calling, or unusual message traffic may be treated as non-personal use and may lead to suspension or termination.
4. Unlimited Services
Unlimited does not mean unreasonable use. Unlimited voice, text, and data are intended for normal, non-commercial communication between individuals. Conference calling, call forwarding, monitoring services, broadcasts, recorded content transmission, and other disproportionate uses are considered unreasonable.
Galaxy Distribution may throttle, deny, deactivate, or cancel service if usage is excessive, harmful to the network, or otherwise violates these Terms. Service may also be denied for illegal, fraudulent, abusive, or unauthorized uses, including tampering with hardware or software or bulk resale of devices.
Coverage is not available everywhere, and service quality may be affected by geographic, atmospheric, and technical limitations. Coverage maps and statements are estimates only, and you should not rely solely on your phone for emergency calls such as 911.
5. Payment Methods for Paid Service Options
Top-Ups may be purchased using a credit or debit card, MoneyGram, customer service, or a Galaxy Distribution Top-Up card purchased at a retail location. Applicable sales taxes, local taxes, surcharges, and regulatory fees may apply and can change without notice.
For recurring card payments, the payment system may place a $0.05 validation hold, which is typically refunded after seven days.
6. International Calling
Phone plans include calls made within the 50 United States and do not include international calling. Calls made outside the domestic United States may result in service termination at Galaxy Distribution’s sole discretion.
7. Messaging
You may send and receive text messages of up to 160 characters on your Galaxy Distribution phone. On certain plans, text messages may be valued at one talk minute per message sent or received; unlimited voice and text plans may be available only in certain areas.
You may receive service alerts from Galaxy Distribution at no charge. If you receive unwanted text messages from other sources, contact the sender and request removal from their list.
8. Unsolicited Messages
If Galaxy Distribution determines that you are sending spam or other unsolicited messages from your device, your service may be terminated without further notice.
9. Data Services and Usage
Galaxy Distribution may interrupt or suspend data access in its sole discretion for abuse, excessive use, or any violation of these Terms. Data speeds may be throttled by the underlying carrier after certain thresholds are met, and those thresholds may change.
Data service is not available on all devices. You are responsible for all data activity to and from your device regardless of who initiates it, and service may be denied or terminated if that usage adversely affects network performance.
10. Specific Terms Regarding Data Services
Your relationship with companies that provide data content is between you and those companies. You are responsible for the information you share and should use good judgment when interacting with websites and online services.
11. Balance Inquiries
You may check your balance free of charge by contacting customer service. Calls are billed in one-minute increments with a one-minute minimum, and call durations are rounded up to the nearest whole minute.
You may switch your number to another Galaxy Distribution phone for no additional charge by contacting customer service.
12. Roaming
Roaming charges apply when calls are made or received outside the home coverage area. Dialing 411, roaming usage, and international calls may generate additional charges and may cause service suspension until those charges are paid.
13. Disputed Charges
If you believe an account charge is incorrect, you must notify Galaxy Distribution immediately. If you do not dispute a charge within 30 days, you waive the right to challenge it in arbitration or court.
If a disputed charge is found to be improper, your account may be credited or you may receive a refund. Chargebacks on charges Galaxy Distribution considers valid may result in account suspension for up to 30 days and deactivation if the chargeback is not resolved.
14. No Refunds of Top-Up Cards and Monthly Charges
All Top-Up sales are final and nonrefundable, regardless of who uses or possesses your phone or whether airtime, text messaging, or data was used with your consent. Monthly service charges are also non-refundable.
15. Refunds or Exchanges
If you purchased a mobile phone directly from Galaxy Distribution and are not satisfied within the first seven days after receiving it, you may return it with the original box and accessories for a refund of the amount paid, subject to the return procedures in these Terms.
Refunds may be reduced or denied for unpaid service charges, damaged equipment, missing accessories, misuse, liquid damage, abnormal wear, or other violations of these Terms. Shipping and handling are not refundable, and restocking fees may apply.
16. Returning Your Galaxy Distribution Phone
Phones purchased directly from Galaxy Distribution include a limited 72-hour warranty from the equipment provider. If you experience issues, contact customer service. Replacement may be refused if the defect or damage is determined to have been caused by the customer.
17. Lost or Stolen Equipment
If your phone is lost or stolen, you are responsible for charges incurred until you notify Galaxy Distribution. After notice, the account may be suspended. If you do not activate a replacement device or notify Galaxy Distribution that the original phone has been found within 60 days, the account may be deactivated and the phone number may be lost.
18. Transferring Service to Another Provider
The mobile phone provided free of charge remains the property of Galaxy Distribution. If you want to transfer the phone to another telecommunications provider, you may need to purchase the device at its retail rate before it can be used elsewhere.
19. Promotions
All promotions are limited-time offers and may be changed or canceled at any time. Gift cards are not redeemable for cash, transfer, or credit, and delivery timing is estimated rather than guaranteed.
Galaxy Distribution is not responsible for promotion issues caused by inaccurate information, unauthorized intervention, printing problems, equipment failures, programming errors, or technical or human administration errors. Gift cards are not guaranteed and may be refused at Galaxy Distribution’s discretion.
Auto-Pay requires registering a valid credit or debit card and selecting a service plan. The selected plan is automatically repurchased on a recurring basis, and certain Auto-Pay offers may require a minimum 12-month commitment. Canceling early may forfeit promotional benefits such as a free first month.
20. Acceptable Use of Products and Services
You may not use Galaxy Distribution services for illegal, fraudulent, threatening, harassing, abusive, defamatory, or otherwise prohibited purposes. You also may not interfere with another customer’s use of service or publish or send content that encourages unlawful or fraudulent activity.
Products and services are sold exclusively for end-consumer use. Unauthorized unlocking, rooting, reflashing, jailbreaking, tampering, export, resale, bulk purchase, use of unauthorized PINs, or other unauthorized use may lead to immediate suspension, termination, or legal action.
Galaxy Distribution reserves the right to pursue liquidated damages of not less than $5,000 per phone used, sold, or acquired in violation of these restrictions.
21. Suspension or Termination of Services
Galaxy Distribution may issue warnings, suspend service, or terminate access at any time if it determines in its sole discretion that you have violated these Terms or any other Galaxy Distribution rule or policy.
22. Location Based Services
When enabled, your device may communicate location information to the network. Turning off location-based services affects only those services and does not change the status of other services you receive.
23. Galaxy Distribution Website
You may use the website to learn more about Galaxy Distribution products and services. The website also contains the Galaxy Distribution privacy policy and other legal information.
24. Secure Use
Galaxy Distribution is not responsible for the content or security of voicemail, messages, or contact lists that you create. You should protect voicemail with a password and use your device safely at all times.
While driving, use a hands-free device and do not send text messages. You must always use your phone in compliance with applicable laws and regulations.
25. Use of Customer Information
Galaxy Distribution may collect customer information available because of its relationship with you, including the nature and type of service and the calls you place and receive. Customer Proprietary Network Information is handled in accordance with FCC rules, privacy laws, and the Galaxy Distribution privacy policy.
26. Dispute Resolution
You and Galaxy Distribution agree to contact each other first in the event of a dispute and negotiate in good faith. You must provide a description of the problem, supporting documents, and your proposed resolution, and you agree to pay account amounts due while the dispute is pending.
27. No Trial by Jury
To the extent permitted by law, both parties waive the right to a jury trial. Unless otherwise specified, legal disputes are subject to the exclusive jurisdiction of the federal or state courts located in Shelby County, Tennessee.
28. Limitation of Liability
Claims for damages are limited to direct and actual damages unless prohibited by law. Galaxy Distribution and its business partners are not liable for indirect, special, incidental, consequential, exemplary, or punitive damages, including lost profits.
Galaxy Distribution is not responsible for missed voicemail, deleted contacts, voicemail system data, or other content-related losses, and no fiduciary or special relationship is created by your use of the products or services.
29. Binding Arbitration
Most disputes arising out of the relationship, the service, equipment, or the privacy policy are subject to binding arbitration, except matters that qualify for small claims court or claims that relate solely to collecting debts owed to Galaxy Distribution.
30. Arbitration Procedures
You must first present a dispute to Customer Care and allow an opportunity to resolve it. If unresolved after 90 days, arbitration may be requested under the American Arbitration Association Wireless Industry Arbitration Rules as modified by the agreement.
The arbitration provision is intended to be governed by the Federal Arbitration Act. Unless otherwise agreed, arbitration generally takes place in the county seat of your billing address and may be conducted telephonically at either party’s election.
31. Waiver of Class Actions
Any arbitration will be conducted on an individual basis only. Both parties waive the right to pursue claims on a class, consolidated, or representative basis to the fullest extent permitted by law.
32. Indemnification
You agree to indemnify and hold harmless Galaxy Distribution, its affiliates, officers, agents, partners, and employees from third-party liabilities, penalties, settlements, claims, and expenses, including attorneys’ fees, arising from your use of Galaxy Distribution products or services or the use by someone you authorize.
33. Warranties
Galaxy Distribution does not manufacture the mobile phones or equipment it offers, and any applicable warranties are those provided by the distributor. Devices, accessories, materials, and related items are provided on an “as is” and “as available” basis to the fullest extent permitted by law.
Galaxy Distribution disclaims express, implied, statutory, and other warranties, including merchantability, fitness for a particular purpose, accuracy, non-infringement, satisfactory quality, and similar legal analogues. No representation is made that phones, devices, or related content will meet your requirements or be free from damage, refurbishment, or harmful components.
34. Effect of Terms of Service
These Terms and Conditions supersede all prior oral or written communications and understandings between you and Galaxy Distribution concerning products, services, and the terms under which they are offered.
35. Employment
Galaxy Distribution provides equal employment opportunities to employees and applicants without regard to race, color, religion, sex, national origin, age, disability, genetics, or other legally protected characteristics, and complies with applicable federal, state, and local nondiscrimination laws.
The company also prohibits workplace harassment, including harassment based on race, religion, gender, sexual orientation, gender identity or expression, disability, age, genetic information, national origin, or veteran status.
36. Entire Agreement
This agreement and any associated agreements constitute the entire agreement between you and Galaxy Distribution with respect to any product or service. Failure to enforce any term is not a waiver of that term or any later breach, and if any provision is deemed unenforceable, the remaining provisions remain valid and enforceable.
